Terms of Service
Last updated: October 2026
1. Acceptance of these Terms
By registering for or using KopaAlert ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not register for or use the Service.
2. What KopaAlert Is
KopaAlert is a platform that helps organisations (shops and other businesses, SACCOs, chamas, and schools) track money owed to them, record payments, and send automated SMS/email payment reminders. This covers customer debts, member contributions and loans, and school fees. It also gives lending businesses credit ratings for their customers, and lets organisations connect their own systems through exports, an API, and webhooks. Organisations using KopaAlert are responsible for the accuracy of the information they enter.
3. Account Registration and Approval
Business accounts are reviewed and approved by KopaAlert administration before activation. We may decline a registration at our discretion. You must provide accurate business, owner, and contact information, including a real, reachable phone number and email address.
4. Subscription and Billing
New businesses start on a free account. To activate and keep using the Service, a business may need to pay a one-time activation fee and/or a recurring monthly subscription (defaulting to KES 1,500 unless a custom price has been agreed). SMS reminders use SMS credit, which is included with some plans and can also be bought separately. Payments are currently recorded by KopaAlert administration upon confirmation of payment (e.g. M-Pesa, bank transfer, or cash).
If a paid subscription lapses without payment, KopaAlert may suspend ("lock") the business's access to the dashboard until payment is made. Your data is retained, not deleted, during a lock. KopaAlert may also suspend an account for violation of these Terms, independent of billing status.
5. Your Responsibilities
- Provide accurate information about your organisation and the people you add (customers, members, students, parents/guardians), and correct it when it is wrong.
- Use the Service only for legitimate record-keeping, debt, loan, fee, and payment reminder purposes.
- Do not use the Service to harass, threaten, shame, or send abusive messages to anyone via SMS or email, and do not reveal a person's debts to anyone who has no right to know.
- Do not attempt to circumvent security, billing, or access controls.
- Keep your login credentials confidential and secure.
6. SMS and Email Communications
When you use KopaAlert to send reminders, you authorize us to send SMS and/or email messages to the phone numbers and email addresses you provide on your behalf, using our shared messaging infrastructure. You are responsible for ensuring you have a lawful basis to contact the individuals you add.
Reminders and account messages are fine. If you use bulk SMS to send promotional or marketing messages, you must first have each recipient's consent and give them a simple way to opt out, as the Data Protection Act, 2019 and Communications Authority rules require. You are responsible for the content of the messages you write.
7. Data and Privacy
Our collection and use of information is described in our Privacy Policy. By using the Service, you also agree to that policy.
For the people you add to KopaAlert, you are the data controller under the Kenya Data Protection Act, 2019, and KopaAlert processes their data on your behalf. This means you must:
- have a lawful reason to collect each person's data, and tell them how it is used;
- if you are a school, process student data in the child's best interests and with the consent of a parent or guardian;
- enter only the information you need, and keep it accurate;
- respond to people's requests to see, correct, or delete their data (we will help);
- meet any registration duties you have with the Office of the Data Protection Commissioner.
8. Credit Ratings
Credit ratings and automatic blacklisting are a guide based on a customer's history with your business. You make the final decision about lending to anyone. Before refusing someone on the basis of a rating, check that the record is correct, and listen to the customer if they say it is wrong. Ratings are for your own business only: do not share or publish them.
9. Exports, API, and Webhooks
When you export data or connect your own systems through the API or webhooks, you are responsible for keeping that data secure once it leaves KopaAlert. Keep your API keys secret. Revoke a key straight away if you think it has been exposed.
10. Suspension and Termination
We may suspend or terminate access to the Service for violation of these Terms, non-payment of a due subscription, fraudulent registration information, or misuse of the platform. You may stop using the Service at any time; contact support to request account closure or data deletion. When an account is permanently deleted, its customer, member, student, debt, payment, and notification records are deleted with it, so export anything you need to keep first.
11. Limitation of Liability
KopaAlert is provided "as is." We do not guarantee uninterrupted service, guaranteed delivery of every SMS or email, or that reminders will result in payment collection. To the fullest extent permitted by law, KopaAlert is not liable for indirect, incidental, or consequential damages arising from use of the Service.
12. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Republic of Kenya.
